Copyright Policy

1. Ownership of the Platform
All content, software, visual interfaces, interactive features, graphics, design, compilation, computer code, and all other elements of the Coarch application (the "Platform") are owned by COARCH INFRASTRUCTURE PRIVATE LIMITED ("Company," "we," "us") and are protected by Indian copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights. 2. "Work Made for Hire" & Assignment of Rights
You ("Associate" or "Freelancer") acknowledge and agree that any architectural drawings, 3D models, designs, estimates, reports, or other deliverables ("Work Product") you create, upload, or submit in fulfillment of a Task on this Platform are commissioned by the Company.
* Assignment: You hereby irrevocably assign, transfer, and convey to Coarch Infrastructure Pvt Ltd all right, title, and interest in and to the Work Product, including all copyrights, trademarks, and other intellectual property rights worldwide.
* Exclusive Ownership: The Company shall be the sole and exclusive owner of the Work Product. You agree that you have no right to resell, license, or use the Work Product for any other client or personal project without the Company's prior written consent.
* Waiver of Moral Rights: To the extent permitted by law, you waive any "moral rights" or rights of attribution that would prevent the Company from modifying, adapting, or combining your Work Product with other works to satisfy the final Client's requirements.

3. Associate Warranties regarding Originality
You represent and warrant that the Work Product you submit:
* Is your original work.
* Does not contain any stolen, copied, or pirated content (e.g., unauthorized use of 3D assets or copying another firm's floor plans).
* Does not violate the intellectual property rights, privacy rights, or publicity rights of any third party.

4. Copyright Infringement Claims
We respect the intellectual property rights of others. If you believe that material located on or linked to by the Coarch Platform violates your copyright, please notify us. Notice of Alleged Infringement: To be effective, your notification must be in writing and include:
1. Identification of the copyrighted work claimed to have been infringed.
2. Identification of the material that is claimed to be infringing.

Terms and Conditions
(Associate & Freelancer Agreement)

1. Introduction
Welcome to Coarch (the "Platform"). This application is owned and operated by COARCH INFRASTRUCTURE PRIVATE LIMITED ("Company," "we," "us," or "Studio"), a company incorporated under the Companies Act, 2013, with its registered office at Plot No. 36, Shop No. 3, Kaveri Apartment Khamla, Shradhananpeth, Nagpur - 440022, Maharashtra, India. Corporate Identity Number (CIN): U43309MH2026PTC464606 These Terms constitute a binding agreement between the Company and you, the "Associate" (Architect, Engineer, Designer, or Intern), governing your use of the Platform to accept tasks, submit deliverables, and receive payments. NOTE: This Platform is strictly for professional use by Associates. It is not intended for end-clients seeking design services.

2. Scope of Relationship
* Independent Contractor Status: You acknowledge that you are using this Platform as an independent professional/freelancer and not as an employee of Coarch Infrastructure Pvt Ltd.
* Task-Based Engagement: The Studio uses this Platform to distribute specific units of work ("Tasks")—such as drafting, 3D modeling, site visits, or estimation.
* No Exclusivity: Unless otherwise agreed in a separate written contract, you are free to work on other projects outside of this Platform, provided they do not conflict with the interests of the Studio.

3. Task Assignment & Deliverables
* Task Acceptance: Tasks will be posted on the Platform with a description, deadline, and offered fee. By clicking "Accept" (or equivalent), you agree to complete the Task within the stipulated time.
* Quality Standards: All deliverables must meet the professional standards set by the Studio. The Studio reserves the right to reject work that is incomplete, inaccurate, or does not meet the design brief.
* Revisions: You agree to perform reasonable revisions to your work if requested by the Studio Lead without additional cost, unless the scope of the Task has changed significantly.

4. Payments
* Payment Upon Completion: Payment is strictly "Task-based." Fees become payable only after the submitted work has been reviewed and approved by the Studio Admin.
* Payment Processing: Approved payments will be processed to the bank account linked to your profile [e.g., within 7 days of approval].
* Taxes: As an independent professional, you are responsible for declaring your own income and paying applicable taxes. Tax Deducted at Source (TDS) will be deducted by the Company as per the Income Tax Act, 1961, if applicable.

5. Intellectual Property (Work for Hire)
* Transfer of Rights: You agree that all designs, drawings, models, reports, and data created by you in the performance of a Task on this Platform ("Work Product") shall be considered "Work Made for Hire."
* Ownership: Coarch Infrastructure Pvt Ltd shall be the sole and exclusive owner of all Intellectual Property Rights in the Work Product. You hereby assign all rights, title, and interest in the Work Product to the Company.
* Moral Rights: You waive any claim to "moral rights" regarding the Work Product, allowing the Studio to modify, adapt, or combine your work as needed for the final client.

6. Confidentiality
* Project Privacy: In the course of completing Tasks, you may be exposed to sensitive information, including client names, site locations, budget details, and proprietary design concepts.
* Non-Disclosure: You agree not to share, publish, or disclose any such information to third parties. You may not post images of the Studio's projects on your personal social media/portfolio without prior written consent from the Company.

7. Non-Solicitation
You agree not to directly contact, solicit, or enter into side agreements with the Studio's ultimate clients (property owners/developers) whose information you gain access to through this Platform.

8. Limitation of Liability
The Company is not liable for:
* Any downtime or technical errors of the Platform.
* Any injury or accident occurring during a site visit unless directly caused by the Company's negligence. You are advised to maintain your own professional and personal insurance.

9. Termination
* The Studio reserves the right to suspend or terminate your access to the Platform immediately if you:
* Submit substandard work repeatedly.
* Violate confidentiality protocols.
* Engage in unethical professional conduct.

10. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Any disputes arising out of your engagement with the Studio shall be subject to the exclusive jurisdiction of the courts located in Nagpur, Maharashtra.
